PLEASE READ THESE TERMS CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS.

These Terms of Service and Client Service Agreement ("Terms") govern access to and use of Villa Bit AI Server, Villa Bit AI, Villa Bit Capital LLC websites, dashboards, software systems, AI services, DNS services, hosting configurations, Cloudflare Worker routing, Cloudways applications, subdomain integrations, folder-path integrations, technical setup, reseller tools, reports, support, and all related services provided or managed by Villa Bit Capital LLC.

By ordering, subscribing to, paying for, accessing, using, connecting, testing, approving, integrating, or continuing to use any Villa Bit AI service, you agree to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

§

1. DEFINITIONS

For purposes of these Terms:

"Villa Bit Capital," "Villa Bit AI," "Villa Bit AI Server," "Company," "we," "us," and "our" mean Villa Bit Capital LLC, a Delaware limited liability company, and its owners, managers, officers, employees, contractors, agents, affiliates, service providers, and authorized representatives.

"Client," "you," and "your" mean the person, company, agency, reseller, partner, website owner, domain owner, account holder, or authorized representative using or ordering the Services.

"Services" means all Villa Bit AI Server services, including without limitation the official Villa Bit AI service packages listed in Section 3 of these Terms, software, AI tools, dashboards, reports, hosting configurations, technical integrations, AI-generated content, SEO-support tools, AI search optimization tools, competitor scan tools, authority builder tools, invisible lead magnet systems, Subdomain AI Server, Domain Folder AI Server, Custom AI Server Setup, DNS setup, Cloudflare setup, Cloudways setup, support, documentation, reseller programs, and related services.

"Client Website" means any website, domain, subdomain, folder path, landing page, application, hosting account, DNS zone, or web property owned, controlled, managed, or used by the Client.

"Client Content" means all information, data, text, files, images, property listings, brand materials, business descriptions, prices, legal statements, investment wording, contact information, login credentials, DNS records, instructions, and materials provided by or on behalf of the Client.

"AI Output" means any content, text, analysis, recommendation, report, page, article, FAQ, SEO text, market note, competitor insight, investment explanation, code suggestion, or other material generated, assisted, edited, summarized, or recommended by artificial intelligence systems.

"Third-Party Services" means any external provider, platform, product, API, registrar, DNS provider, hosting provider, payment provider, email provider, AI provider, search engine, Cloudflare, Cloudways, OpenAI, Google, Gemini, Microsoft, or other service not fully owned and controlled by Villa Bit Capital LLC.

"Subdomain AI Server" means the official Villa Bit AI service package where the Client's agency uses Villa Bit AI on a subdomain such as anyname.yourdomain.com.

"Domain Folder AI Server" means the official Villa Bit AI service package where the Client's agency uses Villa Bit AI inside a selected folder path on its own main domain such as yourdomain.com/anyname/.

"Custom AI Server Setup" means the official Villa Bit AI advanced setup package for custom server, routing, white-label, reseller, multi-domain, dashboard, or non-standard technical structures.

"Subdomain Setup" means the technical configuration used to deliver the Subdomain AI Server service.

"Folder Setup" means the technical configuration used to deliver the Domain Folder AI Server service.

"Custom Setup" means the technical configuration used to deliver the Custom AI Server Setup service.

§

2. ACCEPTANCE OF TERMS

You accept these Terms when you:

  1. Access or use the Services.
  2. Create an account.
  3. Pay an invoice.
  4. Subscribe to any plan.
  5. Approve a technical setup.
  6. Provide domain, DNS, hosting, or website access.
  7. Request a Subdomain AI Server setup.
  8. Request a Domain Folder AI Server setup.
  9. Request a Custom AI Server Setup.
  10. Continue using the Services after these Terms are published or updated.

If you use the Services for a company, real estate agency, partnership, organization, domain owner, or third party, you represent and warrant that you have legal authority to bind that person or entity to these Terms.

§

3. OFFICIAL VILLA BIT AI SERVICE NAMES

Villa Bit AI may offer the following official service packages and related service names. These names may appear on the website, pricing page, invoices, dashboard, order forms, proposals, or other service materials:

1. SUBDOMAIN AI SERVER

Your agency uses Villa Bit AI on a subdomain.

Example: anyname.yourdomain.com

This is the simplest way to start. Villa Bit AI creates the AI server on a subdomain, and the agency can add links to it from the main website.

2. DOMAIN FOLDER AI SERVER

Your agency uses Villa Bit AI inside a folder on your own main domain.

Example: yourdomain.com/anyname/

This is an advanced folder-level integration. A selected folder path is routed to Villa Bit AI infrastructure while the rest of the main website can remain on the Client's existing hosting.

3. CUSTOM AI SERVER SETUP

Your agency receives a custom Villa Bit AI setup based on special technical, white-label, reseller, domain, routing, dashboard, or infrastructure requirements.

4. DAILY AI EMPLOYEE

Villa Bit AI may provide daily AI work functions, logs, reports, content creation, competitor scan support, and related AI-driven activity depending on the selected plan.

5. INVISIBLE LEAD MAGNET

Villa Bit AI may provide real estate investment lead-generation structures and content logic designed to help agencies create stronger lead-generation opportunities.

6. LOCAL PRESENCE BOOST

Villa Bit AI may provide local SEO-support structures, local page logic, city targeting, keyword targeting, FAQ content, and related local visibility support.

7. AI SEARCH RANKING

Villa Bit AI may provide AI search readiness and structured content support intended to help website content become clearer and more readable for AI search engines and search platforms.

8. DAILY COMPETITOR SCAN

Villa Bit AI may provide competitor monitoring and reporting functions based on publicly available or technically accessible competitor information.

9. AI AUTHORITY BUILDER / VILLA BIT REVIEW

Villa Bit AI may create authority-style AI-readable content, review pages, business context pages, trust signals, and related supporting content.

Use of any official service name does not create a guarantee of ranking, traffic, leads, sales, profit, investor participation, or any specific result.

§

4. DESCRIPTION OF SERVICES

Villa Bit AI Server is a white-label real estate agency AI hosting and lead-generation platform.

Villa Bit AI is not ordinary website hosting only. Ordinary hosting provides server space. Villa Bit AI provides AI-powered website, content, visibility, competitor, and lead-generation infrastructure intended for real estate agencies and related businesses.

Depending on the selected plan, technical feasibility, available tools, third-party systems, Client cooperation, and Company discretion, the Services may include:

  1. SUBDOMAIN AI SERVER.
  2. DOMAIN FOLDER AI SERVER.
  3. CUSTOM AI SERVER SETUP.
  4. DAILY AI EMPLOYEE.
  5. INVISIBLE LEAD MAGNET.
  6. LOCAL PRESENCE BOOST.
  7. AI SEARCH RANKING support.
  8. DAILY COMPETITOR SCAN.
  9. AI AUTHORITY BUILDER / VILLA BIT REVIEW.
  10. AI-generated real estate content.
  11. AI-readable authority pages.
  12. Real estate investment lead-generation content.
  13. Website integration.
  14. Cloudflare setup.
  15. Cloudflare Worker routing.
  16. Cloudways application setup.
  17. DNS and SSL configuration support.
  18. White-label dashboards.
  19. Reseller and affiliate tools.
  20. Reports, logs, usage counters, and recommendations.
  21. Technical support related to the selected plan.

The exact Services provided depend on the plan purchased, the written order, the Client's technical environment, third-party systems, available infrastructure, and the Client's cooperation.

§

5. PRIMARY AND SECONDARY WEBSITES

Villa Bit AI's primary public website is: https://villabit.ai

Villa Bit Capital LLC's secondary or related website may include: https://villabitcapital.com

Villa Bit Capital LLC may also use additional technical domains, temporary domains, Cloudways application domains, Cloudflare DNS zones, origin subdomains, API domains, email domains, dashboard domains, or routing domains as necessary to provide the Services.

Use of any related domain does not create a separate provider unless expressly stated in writing.

§

6. SUBDOMAIN AI SERVER / SUBDOMAIN SETUP

The official service name is: SUBDOMAIN AI SERVER

A Subdomain AI Server means Villa Bit AI is connected to a subdomain of the Client's domain.

Examples: anyname.yourdomain.com, ai.yourdomain.com, server.yourdomain.com, realestateai.yourdomain.com

In a Subdomain AI Server setup, DNS records are configured so the selected subdomain points to Villa Bit AI-managed infrastructure, Cloudways infrastructure, Cloudflare infrastructure, or another approved technical environment.

The Client understands and agrees that:

  1. A subdomain may be treated by search engines as a separate or semi-separate website area.
  2. A subdomain may support the Client's main website through links, brand signals, authority signals, and useful content.
  3. A subdomain may build its own rankings separately from the main domain.
  4. A subdomain may not pass SEO value directly as a folder setup like yourdomain.com/anyname/.
  5. DNS, SSL, caching, registrar, hosting, and third-party systems may affect the setup.
  6. Temporary delays, propagation issues, routing problems, or SSL issues may occur.

By requesting, approving, paying for, or using a Subdomain AI Server, the Client authorizes Villa Bit AI to configure, manage, test, update, and operate all DNS, hosting, SSL, routing, and content settings reasonably necessary for that setup.

§

7. DOMAIN FOLDER AI SERVER / FOLDER SETUP

The official service name is: DOMAIN FOLDER AI SERVER

A Domain Folder AI Server means one selected folder path on the Client's main domain is technically routed to Villa Bit AI-managed infrastructure while the rest of the Client Website stays on the Client's existing hosting.

Examples:

yourdomain.com/ → Client's current hosting
yourdomain.com/about → Client's current hosting
yourdomain.com/contact → Client's current hosting
yourdomain.com/anyname/ → Villa Bit AI infrastructure
yourdomain.com/ai/ → Villa Bit AI infrastructure
yourdomain.com/test/ → Villa Bit AI infrastructure

The Client understands that a Domain Folder AI Server is a technical routing method. The selected "folder" may not be a physical folder located on the Client's original hosting server.

A Domain Folder AI Server may be implemented using one or more of the following:

  1. Cloudflare DNS.
  2. Cloudflare Workers.
  3. Cloudflare Worker Routes.
  4. DNS-only origin subdomain.
  5. Cloudways Custom PHP application.
  6. Reverse proxy technology.
  7. Nginx routing.
  8. Apache routing.
  9. Server routing rules.
  10. Path rewriting.
  11. Header forwarding.
  12. SSL/TLS settings.
  13. Redirect rules.
  14. Cache rules.
  15. Security rules.
  16. Other similar routing methods.

In the Cloudflare Worker method, the Client's domain is moved to Cloudflare nameservers. Existing DNS records are copied and preserved as accurately as reasonably possible. The Client's main website continues pointing to the Client's existing hosting. A selected route such as yourdomain.com/anyname*, yourdomain.com/ai*, or yourdomain.com/test* is assigned to a Cloudflare Worker. Only that selected path is forwarded to Villa Bit AI or Cloudways infrastructure.

The Client understands and agrees that:

  1. Domain Folder AI Server is more technically complex than Subdomain AI Server.
  2. Domain Folder AI Server may require nameserver changes.
  3. Domain Folder AI Server may require Cloudflare proxy to be enabled for web records.
  4. Email, cPanel, FTP, webmail, MX, TXT, SRV, and similar records may need to remain DNS-only.
  5. Some hosting providers may not support folder-level routing without Cloudflare Worker or equivalent technology.
  6. DNS propagation may take time.
  7. SSL, cache, redirects, server rules, registrar settings, and third-party services may affect functionality.
  8. Temporary downtime, routing errors, SSL errors, cache issues, or DNS delays may occur.
  9. The Client remains responsible for maintaining backups and recovery access.
  10. Villa Bit AI is not liable for third-party DNS, registrar, hosting, email, Cloudflare, Cloudways, SSL, cache, or configuration problems.

By requesting, approving, paying for, or using Domain Folder AI Server, the Client expressly authorizes Villa Bit AI to route the selected folder path through Villa Bit AI-managed infrastructure and to configure all related DNS, Cloudflare, Worker, Cloudways, origin, SSL, routing, cache, and server settings required for that setup.

§

8. CUSTOM AI SERVER SETUP

The official service name is: CUSTOM AI SERVER SETUP

A Custom AI Server Setup may include:

  1. Multiple domain structures.
  2. Multiple folder routes.
  3. Multiple subdomain routes.
  4. Reseller infrastructure.
  5. White-label dashboard structures.
  6. Agency panels.
  7. Investor panels.
  8. Custom AI prompts.
  9. Custom AI content flows.
  10. Custom DNS or Cloudflare rules.
  11. Custom Cloudways applications.
  12. Custom routing architecture.
  13. Custom language, market, or technical configuration.
  14. Custom AI posting rules or dashboard settings.

Custom AI Server Setup is provided only if technically feasible and commercially reasonable.

Villa Bit AI may refuse, suspend, modify, limit, or discontinue any Custom AI Server Setup if it creates security risks, legal risks, excessive support burden, third-party dependency problems, payment issues, infrastructure instability, or other reasonable concerns.

§

9. CLIENT AUTHORIZATION FOR TECHNICAL CHANGES

The Client authorizes Villa Bit AI and its technical representatives to perform actions reasonably necessary to provide the Services, including:

  1. DNS record changes.
  2. Nameserver changes.
  3. Cloudflare setup.
  4. Cloudflare Worker setup.
  5. Cloudflare Worker Route setup.
  6. Cloudways application setup.
  7. Origin domain setup.
  8. Subdomain AI Server setup.
  9. Domain Folder AI Server setup.
  10. Custom AI Server Setup.
  11. SSL/TLS configuration.
  12. Proxy status configuration.
  13. Cache settings.
  14. Redirect settings.
  15. Security settings.
  16. File uploads.
  17. Code deployment.
  18. Header forwarding.
  19. Path rewriting.
  20. Testing and troubleshooting.
  21. Similar technical actions needed for the Services.

The Client represents that it has the legal right to authorize these changes.

If the Client is not the domain owner, the Client must obtain permission from the domain owner before requesting Villa Bit AI to perform any DNS, domain, hosting, subdomain, folder, or routing work.

Villa Bit AI is not responsible for any dispute between the Client and any domain owner, registrar, hosting provider, email provider, IT provider, developer, employee, contractor, agency, reseller, investor, partner, or other third party.

§

10. CLIENT RESPONSIBILITIES

The Client is responsible for:

  1. Providing accurate information.
  2. Providing authorized access only.
  3. Maintaining ownership or authorization for domains.
  4. Maintaining backups.
  5. Maintaining registrar, hosting, and email access.
  6. Reviewing all AI Output before use.
  7. Approving or rejecting content before publication.
  8. Ensuring legal compliance.
  9. Ensuring investment, tax, securities, and real estate compliance where relevant.
  10. Paying all fees on time.
  11. Cooperating with setup and troubleshooting.
  12. Not using the Services for illegal, misleading, abusive, spam, harmful, or unauthorized purposes.
  13. Not publishing false claims.
  14. Not making unlawful investment offers.
  15. Not using AI Output without human review.
  16. Not violating third-party rights.
  17. Not attempting unauthorized access.
  18. Not interfering with the security or operation of the Services.

§

11. AI OUTPUT AND HUMAN REVIEW

AI Output may be inaccurate, incomplete, outdated, duplicated, legally unsuitable, financially unsuitable, investment unsuitable, or factually wrong.

The Client must review, edit, verify, approve, and legally validate all AI Output before publication, distribution, reliance, or use.

Villa Bit AI does not guarantee that AI Output is accurate, unique, lawful, current, complete, suitable, or error-free.

Villa Bit AI is not liable for any claim, damage, penalty, ranking issue, business loss, legal issue, investor issue, client complaint, regulatory issue, or third-party dispute caused by the Client's use, publication, reliance on, or failure to review AI Output.

§

12. NO PROFESSIONAL ADVICE

The Services do not constitute legal, tax, accounting, securities, investment, financial, real estate brokerage, immigration, regulatory, insurance, or professional advice.

Any content related to real estate investments, preferred returns, rental income, project exits, U.S. LLC structures, UK LLP structures, capital calls, investor eligibility, tax matters, legal structures, or financial projections is informational and technical only.

The Client must consult qualified professionals before using or publishing any legal, tax, investment, securities, or financial content.

§

13. INVESTMENT AND INVISIBLE LEAD MAGNET DISCLAIMER

Villa Bit AI may help create real estate investment-related lead-generation content, informational pages, investor interest pages, capital call explanations, preferred return examples, rental participation examples, project exit examples, U.S. LLC structure explanations, UK LLP structure explanations, or similar materials.

Unless separately agreed in a signed written contract, Villa Bit AI is not:

  1. An investment adviser.
  2. A broker-dealer.
  3. A securities broker.
  4. A real estate broker.
  5. A tax adviser.
  6. A legal adviser.
  7. A financial adviser.
  8. A fund manager.
  9. A fiduciary.
  10. A placement agent.
  11. An underwriter.

The Client must not use Villa Bit AI content to make unlawful securities offerings, misleading investment claims, guaranteed return claims, unverified return claims, or improper solicitation.

Villa Bit AI is not liable for any investment, securities, financial, tax, real estate, regulatory, investor, capital raising, or offering-related claim arising from the Client's use of the Services.

§

14. SEO, AI SEARCH, AND AUTHORITY DISCLAIMER

Villa Bit AI may provide SEO-support content, local pages, AI-readable content, structured authority pages, review pages, FAQ blocks, freshness signals, semantic SEO support, AI search readiness support, and related materials.

Search engines and AI search systems are controlled by third parties.

Villa Bit AI does not guarantee:

  1. Google ranking.
  2. Bing ranking.
  3. AI search ranking.
  4. ChatGPT mention.
  5. Gemini mention.
  6. Copilot mention.
  7. Google AI Overview inclusion.
  8. Indexing.
  9. Traffic.
  10. Leads.
  11. Sales.
  12. Authority recognition.
  13. Any measurable SEO or AI-search result.

§

15. COMPETITOR SCAN DISCLAIMER

Competitor scan features may rely on publicly available, technically accessible, or third-party data.

Villa Bit AI does not guarantee that competitor data is complete, accurate, lawful to use in every jurisdiction, current, or always available.

The Client agrees not to use competitor information for unlawful, defamatory, deceptive, harassing, abusive, or unfair purposes.

Villa Bit AI is not liable for business decisions made based on competitor scan results.

§

16. THIRD-PARTY SERVICES

Villa Bit AI may rely on Third-Party Services including Cloudflare, Cloudways, OpenAI, Google, Gemini, Microsoft, search engines, DNS providers, registrars, hosting providers, email providers, analytics providers, payment processors, and API providers.

Villa Bit AI does not control Third-Party Services and is not liable for their actions, omissions, outages, pricing changes, API changes, policy changes, security incidents, data loss, suspensions, or failures.

The Client may be required to comply with third-party terms.

Third-Party Services may change, limit, suspend, or discontinue services without notice.

§

17. PAYMENT TERMS

The Client must pay all fees according to the selected plan, invoice, order form, checkout page, dashboard, or written agreement.

Fees may include:

  1. Subscription fees.
  2. Setup fees.
  3. Custom setup fees.
  4. AI usage fees.
  5. Cloud infrastructure fees.
  6. DNS or routing fees.
  7. Third-party API fees.
  8. Support fees.
  9. Custom development fees.
  10. Reseller or white-label fees.

All fees are due in advance unless otherwise agreed in writing.

Failure to pay may result in suspension, downgrade, limitation, deletion, or termination of Services.

Villa Bit AI may change pricing, plan features, usage limits, or billing terms with reasonable notice where required by law.

§

18. REFUNDS

Unless required by applicable law or expressly agreed in writing, all payments are non-refundable.

Setup fees, custom work fees, DNS setup fees, integration fees, technical work fees, AI usage fees, third-party fees, and subscription periods already started are non-refundable.

Villa Bit AI may issue credits or partial refunds at its sole discretion, but doing so once does not create a future obligation.

§

19. TERMINATION

Villa Bit AI may suspend or terminate the Services immediately if:

  1. Payment fails.
  2. Client violates these Terms.
  3. Client uses the Services unlawfully.
  4. Client creates security risk.
  5. Client publishes misleading or illegal content.
  6. Client misuses AI Output.
  7. Client abuses support or staff.
  8. Client infringes third-party rights.
  9. Client attempts unauthorized access.
  10. Third-party services become unavailable.
  11. Continuing service becomes legally, technically, or commercially risky.

Upon termination, Villa Bit AI may delete, disable, archive, or stop maintaining Client systems, pages, dashboards, data, DNS settings, origin routes, Worker routes, AI Output, and related configurations.

The Client is responsible for exporting or backing up any needed data before termination.

§

20. SERVICE AVAILABILITY

The Services are provided on an "as available" basis.

Villa Bit AI does not guarantee uninterrupted service, error-free service, uptime, DNS availability, AI provider availability, Cloudflare availability, Cloudways availability, hosting availability, email availability, or search engine availability.

Service may be interrupted by maintenance, updates, third-party outages, DNS changes, hosting issues, AI API issues, network failures, security events, excessive usage, payment issues, legal issues, or force majeure events.

Villa Bit AI is not liable for downtime, delays, data loss, lost profits, lost leads, lost sales, lost rankings, lost traffic, lost emails, business interruption, or similar damages.

§

21. SECURITY

Villa Bit AI uses commercially reasonable security practices but does not guarantee that the Services are immune from unauthorized access, hacking, malware, misconfiguration, data loss, or third-party compromise.

The Client is responsible for secure passwords, two-factor authentication where available, secure credential handling, staff access control, backups, device security, and monitoring its own systems.

Villa Bit AI is not liable for security incidents caused by Client devices, Client staff, Client passwords, Client hosting, third-party services, or Client negligence.

§

22. DATA AND PRIVACY

Villa Bit AI may process Client Content, technical data, website data, public business data, AI prompts, AI Output, log data, support messages, billing data, and other information necessary to provide the Services.

The Client is responsible for ensuring that any personal data provided to Villa Bit AI may be lawfully processed.

Villa Bit AI may use third-party processors and infrastructure providers to deliver the Services.

Villa Bit AI does not sell Client personal data to advertisers.

A separate Privacy Policy or Data Processing Agreement may apply where required.

§

23. CONFIDENTIALITY

Each party may receive confidential information from the other.

Confidential information must be protected using reasonable care and used only for purposes related to the Services.

Confidential information does not include information that is public, independently developed, already known, lawfully received from another source, or required to be disclosed by law.

Villa Bit AI may share information with employees, contractors, advisors, technical providers, hosting providers, AI providers, payment processors, and service providers as needed to provide the Services.

§

24. INTELLECTUAL PROPERTY

Villa Bit AI retains all rights, title, and interest in its software, systems, prompts, workflows, templates, infrastructure, methods, dashboards, code, designs, documentation, brand, trademarks, service names, AI logic, and business processes.

The Client retains ownership of Client Content.

Subject to payment and compliance with these Terms, Villa Bit AI grants the Client a limited, revocable, non-exclusive, non-transferable right to use the Services during the active subscription period.

The Client may not copy, resell, reverse engineer, reproduce, clone, scrape, extract, distribute, or create competing services from Villa Bit AI systems, prompts, code, workflows, templates, or content structures without written permission.

White-label use does not transfer ownership of Villa Bit AI technology.

§

25. LICENSE TO USE CLIENT CONTENT

The Client grants Villa Bit AI a worldwide, non-exclusive, royalty-free license to use, process, host, copy, modify, analyze, display, publish, route, transform, and create derivative works from Client Content as needed to provide the Services.

The Client represents and warrants that it owns or has permission to use all Client Content.

§

26. PROHIBITED USES

The Client may not use the Services to:

  1. Violate any law.
  2. Infringe intellectual property.
  3. Publish false or misleading claims.
  4. Make unlawful investment offers.
  5. Send spam.
  6. Scrape unlawfully.
  7. Attack competitors unlawfully.
  8. Defame others.
  9. Publish discriminatory, hateful, illegal, or harmful content.
  10. Upload malware.
  11. Attempt unauthorized access.
  12. Circumvent security.
  13. Overload systems.
  14. Misrepresent Villa Bit AI.
  15. Resell services without permission.
  16. Use the Services for regulated activities without proper licenses.
  17. Publish guaranteed return claims.
  18. Publish fake reviews or deceptive testimonials.
  19. Use AI Output without human review.
  20. Violate third-party platform terms.

§

27. AFFILIATE AND RESELLER TERMS

Villa Bit AI may offer affiliate, reseller, or partner programs.

Participation is subject to Company approval, dashboard rules, commission rules, payout rules, fraud checks, and any separate reseller agreement.

Villa Bit AI may reverse or deny commissions for refunds, chargebacks, fraud, abuse, self-referrals, duplicate accounts, tracking abuse, policy violations, or non-qualifying transactions.

Affiliates and resellers must comply with advertising laws, disclosure rules, platform policies, and all applicable laws.

Affiliates and resellers may not make false claims, income guarantees, performance guarantees, investment guarantees, or legal promises about Villa Bit AI.

Villa Bit AI is not liable for affiliate or reseller business results, lost commissions caused by tracking issues, cookie deletion, browser limitations, payment processor issues, third-party platform restrictions, or Client cancellation.

28. SUPPORT

Villa Bit AI may provide support through email, dashboard, chat, tickets, documentation, or other channels.

Support scope depends on the plan purchased.

Support does not include unlimited custom development, legal review, tax advice, investment advice, emergency recovery, third-party hosting repair, malware cleanup, email migration, registrar dispute handling, or unrelated IT support unless separately agreed in writing.

Villa Bit AI may refuse support for abusive, unlawful, unsafe, or unreasonable requests.

29. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

VILLA BIT CAPITAL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, PERFORMANCE, SEARCH ENGINE RESULTS, AI OUTPUT QUALITY, BUSINESS RESULTS, LEGAL COMPLIANCE, INVESTMENT RESULTS, AND ERROR-FREE OPERATION.

VILLA BIT AI DOES NOT WARRANT THAT:

  1. THE SERVICES WILL MEET CLIENT EXPECTATIONS.
  2. THE SERVICES WILL BE UNINTERRUPTED.
  3. THE SERVICES WILL BE ERROR-FREE.
  4. AI OUTPUT WILL BE ACCURATE.
  5. CONTENT WILL BE UNIQUE.
  6. SEO WILL IMPROVE.
  7. AI SEARCH ENGINES WILL CITE OR RECOMMEND THE CLIENT.
  8. LEADS OR SALES WILL OCCUR.
  9. DOMAINS, DNS, EMAIL, OR HOSTING WILL NEVER EXPERIENCE ISSUES.
  10. THIRD-PARTY SERVICES WILL REMAIN AVAILABLE.

§

30. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLA BIT CAPITAL LLC, VILLA BIT AI, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SALES, LOST LEADS, LOST REVENUE, LOST DATA, LOST RANKINGS, LOST TRAFFIC, LOST GOODWILL, BUSINESS INTERRUPTION, DOMAIN INTERRUPTION, EMAIL INTERRUPTION, INVESTOR CLAIMS, CLIENT CLAIMS, OR THIRD-PARTY CLAIMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLA BIT CAPITAL LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT TO VILLA BIT CAPITAL LLC FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability is limited to the maximum extent permitted by law.

31. INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless Villa Bit Capital LLC, Villa Bit AI, its owners, members, managers, officers, employees, contractors, agents, affiliates, suppliers, and service providers from and against any claims, damages, losses, liabilities, penalties, settlements, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  1. Client use of the Services.
  2. Client Content.
  3. AI Output used, approved, published, or relied on by the Client.
  4. Client Website.
  5. Client domain or DNS changes.
  6. Client investment, financial, legal, or real estate claims.
  7. Client violation of laws.
  8. Client violation of these Terms.
  9. Client violation of third-party rights.
  10. Client relationship with customers, investors, visitors, partners, domain owners, hosting providers, or third parties.
  11. Client failure to obtain permissions.
  12. Client failure to review content.
  13. Client misuse of Subdomain AI Server, Domain Folder AI Server, Custom AI Server Setup, or any other technical setup.

32. NO LIABILITY FOR CLIENT OR THIRD-PARTY ACTIONS

Villa Bit AI is not liable for:

  1. Client misuse of Services.
  2. Client failure to review AI Output.
  3. Client publication decisions.
  4. Client legal non-compliance.
  5. Client investment claims.
  6. Client DNS mistakes.
  7. Client registrar mistakes.
  8. Client hosting mistakes.
  9. Client email problems.
  10. Client staff actions.
  11. Client contractor actions.
  12. Domain owner disputes.
  13. Third-party provider outages.
  14. Search engine decisions.
  15. AI search engine decisions.
  16. Competitor actions.
  17. Cyberattacks not caused by Villa Bit AI's willful misconduct.
  18. Force majeure.
  19. Platform policy changes.
  20. Third-party API changes.

33. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles.

To the extent permitted by law, the state and federal courts located in Delaware, United States of America, shall have exclusive jurisdiction over disputes arising out of or related to these Terms or the Services, unless Villa Bit Capital LLC chooses another legally available forum for enforcement, collection, injunctive relief, or protection of its rights.

34. FORCE MAJEURE

Villa Bit AI is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet failures, DNS failures, hosting failures, cyberattacks, power outages, government actions, legal restrictions, third-party outages, API outages, search engine changes, AI provider changes, payment processor issues, or other events outside reasonable control.

35. CHANGES TO TERMS

Villa Bit AI may update these Terms at any time.

Updated Terms may be posted on https://villabit.ai, https://villabitcapital.com, the Client dashboard, invoice system, or sent by email.

Continued use of the Services after updated Terms are posted or communicated means the Client accepts the updated Terms.

36. SEVERABILITY

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions remain in full force and effect.

The invalid provision shall be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible.

§

37. ENTIRE AGREEMENT

These Terms, together with any order form, invoice, subscription page, privacy policy, data processing agreement, written agreement, or applicable service description, form the entire agreement between the Client and Villa Bit Capital LLC regarding the Services.

These Terms supersede all prior or contemporaneous discussions, proposals, messages, marketing materials, or informal statements related to the Services, except where a separate written agreement signed by authorized representatives expressly overrides these Terms.
